1. Agreement to Terms

1.1 Acceptance

By accessing or using mindping ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not use our Service.

1.2 Modifications

We reserve the right to modify these Terms at any time. We will provide notice of material changes via:

• SMS notification to active users
• Email notification (if provided)
• Website notice at least 30 days before changes take effect

Continued use after changes constitutes acceptance of modified Terms.

1.3 Additional Terms

Additional terms may apply to specific features or promotions. In case of conflict, specific terms prevail over these general Terms.

2. Service Description

2.1 Core Service

mindping is an AI-powered memory assistance service that:

• Receives and processes reminder requests via SMS
• Sends reminder notifications at scheduled times
• Learns your executive function patterns
• Suggests proactive "ghost tasks" based on your behaviors
• Provides natural language interaction
• Tracks task completion

2.2 Service Availability

• The Service operates 24/7 but may experience interruptions
• We do not guarantee 100% uptime or availability
• Message delivery may be subject to carrier-specific limitations
• Scheduled maintenance will be announced when possible
• Service is currently available in the United States and Canada

2.3 Service Limitations

• SMS delivery depends on carrier networks
• AI interpretation may not always be accurate
• Time zones and daylight savings may affect scheduling
• Service requires active phone service
• International use may incur additional charges

3. Eligibility and Registration

3.1 Age Requirements

• You must be at least 13 years old to use mindping
• By registering, you represent that you meet age requirements

3.2 Account Creation

• You must provide accurate and complete information
• One account per phone number
• You must have authority to use the provided phone number
• Business use requires separate commercial agreement

3.3 Prohibited Users

The following may not use mindping:

• Persons barred from receiving services under applicable laws
• Persons in countries subject to U.S. trade restrictions
• Previously banned users
• Automated systems or bots

4. Account Responsibilities

4.1 Account Security

• You are responsible for maintaining phone security
• Notify us immediately of unauthorized access
• You are liable for all activity under your account
• We are not responsible for lost phone access

4.2 Account Information

• Keep your phone number current
• Update timezone when you travel or move
• Notify us of phone number changes before switching
• Maintain accurate billing information

4.3 Account Transfer

• Accounts are non-transferable
• You may not sell or share your account
• Phone number changes require verification

5. Payment Terms

5.1 Pricing

5.2 Billing Practices

• Billing occurs monthly in advance
• Automatic renewal until cancelled
• Payment processed on the same date each month
• Failed payments may result in service suspension
• Retry attempts for failed payments

5.3 Refund Policy

• No refunds for partial months
• No refunds for unused SMS credits
• Refunds may be provided for service failures at our discretion
• Disputed charges should be reported within 30 days

5.4 Price Changes

• We may modify prices with 30 days notice
• Price increases don't affect current billing period
• You may cancel before price increase takes effect
• Promotional pricing may have different terms

5.5 Taxes

• Prices exclude applicable taxes
• You are responsible for applicable taxes
• We collect tax where legally required

6. SMS Terms and Consent

6.1 Message Types

You consent to receive:

• Reminder messages you request
• Ghost task suggestions
• Account notifications
• Service updates
• Payment confirmations
• Support responses

6.2 Message Frequency and Charges

• Frequency varies based on your usage
• Standard message and data rates apply
• mindping is not responsible for carrier charges
• International messaging may incur additional fees
• Message delivery depends on carrier networks and may occasionally be delayed or blocked by carriers

6.3 Opt-Out Rights

• Text STOP to +1 (321) 352-4630 to pause messages
• Text START to resume service
• Text HELP for assistance
• Opt-out is effective immediately
• Opting out pauses but doesn't cancel subscription

6.4 Supported Carriers

Compatible with major carriers including but not limited to:

• United States: AT&T, Verizon, T-Mobile, Sprint, and others
• Canada: Bell, Rogers, Telus, and others

7. Acceptable Use Policy

7.1 Prohibited Uses

You agree NOT to use mindping to:

• Violate any laws or regulations
• Transmit illegal, harmful, or offensive content
• Harass, threaten, or harm others
• Impersonate any person or entity
• Violate intellectual property rights
• Transmit malware or malicious code
• Interfere with service operation
• Attempt unauthorized access
• Resell or redistribute the service
• Use for commercial purposes without agreement
• Create derivative works without permission
• Reverse engineer the service
• Use automated systems to access the service
• Violate privacy of others
• Promote illegal activities

7.2 Content Standards

Your content must not:

• Contain illegal material
• Promote violence or harm
• Include hate speech or discrimination
• Contain explicit sexual content
• Violate privacy rights
• Include personal information of others
• Promote dangerous activities

7.3 Enforcement

• We may investigate violations
• We may remove violating content
• We may suspend or terminate accounts
• We may report illegal activities to authorities
• We are not obligated to monitor content

8. Intellectual Property

8.1 mindping Property

We own all rights to:

• The mindping name, logo, and branding
• Service design and user interface
• Proprietary algorithms and AI models
• Patent-pending technology
• Marketing materials and content
• Software and source code
• Business methods and processes

8.2 Limited License to You

• We grant you a limited, non-exclusive, non-transferable license to use the Service
• This license is revocable and personal to you
• You may not sublicense, sell, or transfer this license
• License terminates when your account terminates

8.3 Feedback and Suggestions

• We welcome feedback and suggestions
• You grant us unlimited rights to use feedback
• We may implement suggestions without compensation
• Feedback becomes our property

9. User Content and Rights

9.1 Your Content

• You retain ownership of your reminder content
• You are responsible for your content
• You represent that you have rights to your content
• Your content must comply with these Terms

9.2 License to Us

You grant mindping a worldwide, non-exclusive license to:

• Store and process your content
• Send your reminders as requested
• Analyze patterns for service improvement
• Generate anonymized insights
• Provide customer support

9.3 Content Removal

• We may remove content that violates Terms
• We may remove content for legal compliance
• Deleted content may persist in backups temporarily
• You can request content deletion

10. Disclaimers and Limitations

10.1 No Warranties

WE DISCLAIM ALL WARRANTIES INCLUDING:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY
• UNINTERRUPTED OR ERROR-FREE OPERATION
• SECURITY OR VIRUS-FREE
• MEETING YOUR REQUIREMENTS

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability is limited to the amount you paid us in the past 12 months
• We are not liable for indirect, incidental, or consequential damages
• We are not liable for lost profits or data
• We are not liable for missed appointments or forgotten tasks
• We are not liable for medical consequences
• We are not liable for third-party actions
• We are not liable for force majeure events

10.3 Specific Disclaimers

• Medical: Not a substitute for medical care or advice
• Legal: Not legal advice or assistance
• Professional: Not professional mental health treatment
• Emergency: Not for emergency or crisis situations
• Accuracy: AI may misinterpret requests
• Timing: Reminders may be delayed or missed

10.4 Assumption of Risk

You acknowledge and agree that:

• You use mindping at your own risk
• You maintain backup systems for critical needs
• You verify important information independently
• You don't rely solely on mindping for essential tasks

11. Indemnification

You agree to indemnify, defend, and hold harmless mindping LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another
• Your content or information
• Your violation of applicable laws
• Negligent or wrongful conduct

12. Termination

12.1 Your Termination Rights

• You may cancel your subscription at any time
• Text UNSUBSCRIBE to cancel
• Cancellation is effective at end of billing period
• No refunds for partial periods

12.2 Our Termination Rights

We may terminate or suspend your account for:

• Violation of these Terms
• Non-payment
• Extended inactivity (12+ months)
• Fraudulent or illegal activity
• Risk to service or other users
• Legal requirement

12.3 Effect of Termination

• Access to Service ends immediately
• Pending reminders are cancelled
• No refunds for unused time or credits
• We may delete your data per Privacy Policy
• Certain provisions survive termination

13. Dispute Resolution

13.1 Informal Resolution

Before filing any legal claim, you agree to try to resolve disputes informally by contacting us at legal@mindping.ai. We'll try to resolve disputes informally for 30 days.

13.2 Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration under JAMS Streamlined Arbitration Rules, except:

• You may assert claims in small claims court if eligible
• Either party may seek injunctive relief for IP violations

13.3 Arbitration Procedures

• Arbitration will be conducted by JAMS
• Arbitration will be held in Delaware or your county
• For claims under $10,000, arbitration will be documents-only
• Arbitrator's decision is final and binding
• Each party bears own attorneys' fees

13.4 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES WITH MINDPING INDIVIDUALLY AND WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION.

13.5 Severability

If the class action waiver is found unenforceable, the entire arbitration agreement is void, and disputes will be resolved in court.

13.6 30-Day Opt-Out

You may opt out of arbitration by notifying us in writing within 30 days of first accepting these Terms. Send opt-out to: legal@mindping.ai

14. General Provisions

14.1 Governing Law

These Terms are governed by Delaware law, without regard to conflict of law principles. Any disputes not subject to arbitration will be resolved in Delaware courts.

14.2 Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and mindping, superseding any prior agreements.

14.3 Severability

If any provision is found unenforceable, the remaining provisions continue in full force.

14.4 No Waiver

Our failure to enforce any right or provision is not a waiver of that right or provision.

14.5 Assignment

• We may assign these Terms without restriction
• You may not assign these Terms without our written consent
• These Terms bind successors and assigns

14.6 Force Majeure

We are not liable for delays or failures due to causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or governmental action.

14.7 Notice

We may provide notices via:

• SMS to your registered number
• Email (if provided)
• Website posting
• Service interface

14.8 Export Controls

You may not use or export the Service in violation of U.S. export laws and regulations.

14.9 Government Use

If you are a government entity, additional terms may apply.
